1. introduction and acceptance of terms

these terms of service (the "Terms") govern your access to and use of the maplepros website, mobile applications, ai concierge, and related services (collectively, the "Platform"). by accessing, browsing, registering for, or otherwise using the Platform, you agree to be bound by these Terms and our privacy policy. if you do not agree, do not use the Platform.

you must be at least 18 years old and able to form a legally binding contract under the laws of your jurisdiction. maplepros is operated from Ontario, Canada and is intended for users in Canada.

2. important marketplace disclaimer

maplepros is a technology platform and concierge service that helps connect Clients with independent home service providers, contractors, tradespeople, businesses, and professionals ("Pros"). maplepros is not a contractor, construction company, renovation company, home inspection company, employment agency, insurer, broker, agent, payment processor for contractor services, or party to any agreement between Clients and Pros.

any agreement for services is strictly between the Client and the Pro. maplepros does not perform, supervise, direct, control, warrant, guarantee, inspect, or certify any work performed by Pros.

emergency / safety notice: for urgent, dangerous, emergency, structural, electrical, gas, fire, flooding, mold, health, pest, safety, or life-threatening situations, contact emergency services, your utility provider, a licensed professional, your insurer, your landlord, your property manager, or the appropriate authority. do not rely on the Platform for emergency response.

3. no guarantee of work, outcome, availability, or suitability

to the fullest extent permitted by applicable law, maplepros makes no representation, warranty, or guarantee with respect to any Pro, Client, listing, match, recommendation, profile, review, rating, photo, description, credential, license, insurance certificate, quote, message, or service offered or obtained through the Platform. without limitation, maplepros does not guarantee:

  • Pro availability, responsiveness, or willingness to take on a job
  • Pro qualifications, experience, training, references, or skill
  • Pro licensing, registration, certification, bonding, or permitting
  • Pro insurance coverage, workers' compensation, or tax compliance
  • quality, safety, legality, timeliness, scope, or workmanship of any service
  • price, estimates, quotes, invoices, or payment terms agreed between a Client and Pro
  • materials, parts, products, equipment, or subcontractors used by a Pro
  • permits, approvals, inspections, code compliance, or warranty obligations
  • completion, outcome, durability, or fitness for purpose of any work
  • accuracy, currency, or completeness of reviews, ratings, credentials, photos, descriptions, licenses, insurance details, or other profile information

4. client responsibilities

as a Client, you are solely responsible for evaluating, selecting, hiring, supervising, and paying any Pro you choose to engage. before hiring or paying any Pro, you should:

  • verify the Pro's identity, business registration, licenses, permits, insurance, references, reviews, experience, and suitability for your specific job
  • obtain written quotes, written contracts, warranties, proof of insurance, permits, receipts, invoices, lien waivers, and any other protections appropriate for the work
  • confirm scope, pricing, payment terms, change-order procedures, and cancellation rights in writing before work begins
  • make your own decisions and not rely on maplepros, its content, or its ai outputs as legal, construction, engineering, insurance, safety, emergency, or other professional advice
  • comply with all applicable laws, by-laws, condo or strata rules, lease terms, and property-owner consents that apply to your job

using maplepros to be matched with a Pro is free for Clients. payment for services is made directly to the Pro on the terms you negotiate with that Pro. maplepros does not collect, hold, escrow, refund, or release Client payments for contractor services, except where the Platform expressly offers a payment feature, in which case those payments are governed by additional terms presented at the time of payment.

5. pro responsibilities

by registering or maintaining a Pro profile, or accepting any introduction or job through the Platform, you represent and warrant on an ongoing basis that you:

  • are legally permitted to offer and perform the services you list, in every jurisdiction in which you operate
  • hold and will maintain all required licenses, permits, registrations, certifications, insurance (including general liability and any trade-specific coverage), tax accounts, workers' compensation coverage where applicable, and other approvals
  • provide accurate, complete, current, and non-misleading profile, credential, business, pricing, and service-area information
  • are solely responsible for all services, quotes, estimates, inspections, materials, labour, subcontractors, warranties, safety, permits, code compliance, taxes, invoicing, collections, refunds, cancellations, complaints, and disputes related to your work
  • are an independent business and not an employee, agent, partner, representative, franchisee, joint venturer, or subcontractor of maplepros
  • will not represent, imply, or allow others to imply that maplepros endorses, certifies, employs, supervises, insures, indemnifies, or is otherwise responsible for you or your work
  • will respond to Clients honestly, treat them with respect, and decline work you are not qualified or licensed to perform

Pros agree to indemnify maplepros for breaches of these representations as set out in section 21 (Indemnification).

6. payments and contracts between clients and pros

any agreement, quote, estimate, deposit, invoice, payment, refund, warranty, or other term for services performed by a Pro is solely between the Client and the Pro. maplepros is not a party to that agreement, is not the Pro's agent, is not a payment processor for the Pro's services (except as expressly stated for any Platform-offered payment feature), and is not responsible for collection, escrow, release, refunds, chargebacks, taxes, liens, or workers' compensation.

Clients and Pros are encouraged to use written contracts that address scope, materials, schedule, pricing, payment milestones, change orders, warranties, dispute resolution, and termination.

7. fees charged by maplepros

using maplepros to find a Pro is free for Clients. Pros may be offered free or paid plans, lead access, subscriptions, featured placement, or other paid Platform features. all fees, taxes, and billing terms applicable to a Pro will be disclosed before that Pro is charged. fees paid to maplepros are non-refundable except where required by applicable law or as expressly stated at the time of purchase.

8. ai concierge and matching

maplepros may use artificial intelligence, automation, ranking logic, intake forms, scoring models, and human review to (a) understand what a Client is asking for, (b) suggest one or more Pros, (c) draft messages, descriptions, or estimates, and (d) operate other Platform features. ai outputs are produced by automated systems and may be incomplete, inaccurate, outdated, biased, or unsuitable for your situation.

ai outputs are provided for convenience only and do not constitute legal, construction, engineering, financial, insurance, safety, medical, or other professional advice. you must independently verify all information before acting on it, and you remain responsible for your decisions, including which Pro to hire, what scope to agree to, and what price to accept. maplepros may modify, retrain, suspend, or remove ai features at any time.

9. user accounts

  • you must be at least 18 years old to create an account
  • you are responsible for maintaining the security of your account credentials and for all activity under your account
  • you must provide accurate, current, and complete information, and keep it up to date
  • you may not create multiple accounts to evade enforcement, impersonate another person or business, or share an account with others
  • maplepros may verify your identity, contact information, business registration, credentials, or insurance, and may suspend or terminate accounts that violate these Terms

10. user content

you retain ownership of content you submit to the Platform (including job descriptions, photos, profile information, messages, reviews, and feedback) ("user content"). you grant maplepros a non-exclusive, royalty-free, worldwide, sublicensable, and transferable licence to host, store, reproduce, modify, adapt, translate, display, perform, and distribute that user content for the purposes of operating, securing, promoting, and improving the Platform, including in emails, social media, and marketing.

you represent that you have all rights, consents, and permissions necessary to submit your user content and to grant the licence above, and that your user content does not infringe any third-party rights or violate any law.

11. reviews, ratings, and testimonials

reviews and ratings must be honest, accurate, genuine, based on a real interaction or service, and not misleading. you may not:

  • post fake, fabricated, or impersonated reviews
  • review your own business, your employer, your competitors with intent to harm, or anyone you have not had a genuine interaction with
  • solicit, exchange, or accept paid or incentivized reviews without clearly disclosing the incentive
  • manipulate ratings, vote-stuff, brigade, or otherwise distort the review system
  • threaten, retaliate against, or harass anyone over a review or rating
  • post defamatory, abusive, harassing, discriminatory, private, illegal, or misleading content

maplepros may, but is not obligated to, moderate, edit, label, hide, or remove reviews, ratings, or other user content that we reasonably believe violates these Terms or applicable law. maplepros does not guarantee the accuracy of any review or rating displayed on the Platform.

12. prohibited conduct

you agree not to:

  • use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose
  • post false, misleading, defamatory, infringing, or otherwise unlawful content
  • harass, threaten, abuse, discriminate against, or doxx other users
  • spam, send unsolicited commercial messages, or bypass our communication controls
  • scrape, crawl, harvest, or otherwise collect data from the Platform without our written permission
  • reverse engineer, copy, or create derivative works of the Platform, except as permitted by law
  • circumvent, disable, or interfere with security, rate-limiting, anti-bot, or moderation features
  • manipulate matching, reviews, ratings, badges, or rankings
  • solicit users off-platform to evade fees, oversight, or these Terms
  • use the Platform to offer services you are not legally permitted to perform

13. no endorsement

badges, trust signals, verifications, certifications, ratings, rankings, featured placement, and other Platform indicators are informational only. they do not constitute an endorsement, recommendation, certification, or guarantee by maplepros, and they are not a substitute for your own due diligence. maplepros is not liable for the conduct or work of any Pro or Client.

14. third-party services and links

the Platform may include links to, or integrate with, third-party services (for example payment processors, mapping, identity, sms, email, analytics, ai providers, or social platforms). those services are provided by independent third parties under their own terms and privacy policies. maplepros does not control and is not responsible for third-party services, content, products, security, availability, or practices.

15. privacy

your use of the Platform is also governed by our privacy policy, which describes how we collect, use, and protect your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

16. intellectual property

the maplepros name, logo, wordmark, design system, software, content, and Platform are the intellectual property of maplepros or its licensors and are protected by copyright, trademark, and other laws. except for the limited rights granted in these Terms, no rights are granted to you. you may not use our marks without our prior written permission.

17. availability and platform changes

maplepros is provided on an "as available" basis. we may add, modify, suspend, or discontinue any feature, content, ai capability, integration, listing, or part of the Platform at any time, with or without notice. we are not liable for any change to or unavailability of the Platform.

18. disclaimer of warranties

the Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. to the fullest extent permitted by applicable law, maplepros and its officers, directors, employees, agents, licensors, and suppliers disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement. maplepros does not warrant that the Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any defects will be corrected. maplepros makes no warranties or representations regarding the qualifications, quality, reliability, safety, or legality of any Pro, Client, or services offered or obtained through the Platform.

19. limitation of liability

to the fullest extent permitted by applicable law, maplepros and its officers, directors, employees, agents, licensors, and suppliers will not be liable for, and expressly disclaim responsibility for, any loss, damage, claim, cost, or liability arising out of or relating to:

  • any work, service, quote, estimate, inspection, or omission by a Pro
  • property damage, bodily injury, illness, or death
  • theft, vandalism, fraud, dishonesty, or criminal acts of any user
  • negligent, defective, or substandard work, materials, products, or subcontractors
  • delays, no-shows, abandonment, cancellations, or scheduling failures
  • disputes, disagreements, or unpaid amounts between Clients and Pros
  • deposits, refunds, chargebacks, liens, or collections
  • permits, inspections, approvals, code violations, or warranty claims
  • inaccurate, incomplete, or outdated profiles, reviews, ratings, credentials, licenses, or insurance information
  • any ai-generated recommendation, match, draft, summary, or other ai output
  • any third-party service, integration, link, or content
  • loss of data, lost profits, lost revenue, lost goodwill, or business interruption

in no event will maplepros be liable for indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages, even if advised of the possibility of such damages.

liability cap.to the fullest extent permitted by applicable law, maplepros' total aggregate liability for all claims arising out of or relating to these Terms or your use of maplepros will not exceed the greater of: (1) the amount you paid directly to maplepros in the twelve (12) months before the event giving rise to the claim; or (2) CAD $100.

20. consumer protection rights

nothing in these Terms is intended to waive, restrict, exclude, or limit any rights, remedies, warranties, or guarantees that cannot, under applicable consumer protection, privacy, competition, class proceedings, human rights, or other laws, be waived, restricted, excluded, or limited. where any provision of these Terms (including the disclaimers, limitations of liability, indemnities, dispute clauses, and class waiver) would otherwise have that effect, that provision applies only to the maximum extent permitted by applicable law and is otherwise read down or severed accordingly.

21. indemnification

to the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless maplepros and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any user content you submit; or (e) your interactions with other users.

pro indemnity. in addition, if you are a Pro, you agree to indemnify, defend, and hold harmless maplepros and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • any service, work, advice, quote, estimate, inspection, or omission by you, your employees, or your subcontractors
  • unsafe work, property damage, bodily injury, illness, or death
  • defective work or materials, code violations, missing or incorrect permits, failed inspections, or warranty claims
  • liens, unpaid workers, unpaid subcontractors, unpaid suppliers, or unpaid taxes
  • tax, employment, insurance, workers' compensation, licensing, or other regulatory violations
  • quotes, invoices, deposits, refunds, collections, chargebacks, or unresolved Client disputes
  • your failure to maintain required licences, registrations, certifications, insurance, or workers' compensation
  • misrepresentation of your identity, business, qualifications, credentials, services, or pricing on the Platform

22. disputes between clients and pros

disputes about services, work, scope, payments, refunds, warranties, damage, or conduct are between the Client and the Pro. maplepros is not a party to those disputes and is not obligated to investigate, mediate, arbitrate, refund, compensate, or take any other action. as a courtesy, maplepros may at its sole discretion provide informal facilitation, request information, restrict accounts, or remove content, but doing so does not make maplepros responsible for the dispute or its outcome.

23. disputes with maplepros

we want to resolve concerns quickly and fairly. before starting any formal proceeding, please contact us at [email protected] with a description of the issue and the resolution you are seeking, and give us at least thirty (30) days to respond.

to the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally within thirty (30) days will be resolved by binding arbitration administered by the ADR Institute of Ontario (or a comparable body in your province) under its rules then in effect, seated in Toronto, Ontario, in english. maplepros will pay the filing and administrative fees of arbitration; each party bears its own legal costs.

notwithstanding the foregoing, either party may bring a claim in small claims court in the province where the claimant resides, provided the claim falls within that court's jurisdiction. to the extent permitted by applicable law, you and maplepros agree that any arbitration or proceeding will be limited to the dispute between maplepros and you individually and will not be brought as a class action, class arbitration, mass action, or other representative proceeding. nothing in this section limits any non-waivable right under section 20 (Consumer Protection Rights). these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

24. suspension and termination

maplepros may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any breach of these Terms, suspected fraud, abuse, safety risk, regulatory concern, or conduct that may harm the Platform or other users. where practicable we will provide reasonable notice. you may delete your account at any time. on termination, your right to use the Platform ceases. sections that by their nature should survive termination — including sections 3 (No Guarantee), 5 (Pro Responsibilities), 6 (Payments and Contracts), 10 (User Content), 16 (Intellectual Property), 18 (Disclaimer of Warranties), 19 (Limitation of Liability), 20 (Consumer Protection Rights), 21 (Indemnification), 22 (Client–Pro Disputes), 23 (Disputes With maplepros), and this section — will survive.

25. changes to these terms

we may update these Terms from time to time. material changes will be communicated through the Platform or by email at least thirty (30) days before they take effect. if you do not agree to the revised Terms, you may terminate your account before the changes take effect. continued use of maplepros after the effective date constitutes acceptance of the updated Terms.

26. entire agreement and severability

these Terms, together with our privacy policy and any additional terms presented at the point of use of a particular feature, constitute the entire agreement between you and maplepros regarding the Platform. if any provision of these Terms is held unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. our failure to enforce any provision is not a waiver of that provision.
